Terms of Service
Last updated October 6, 2026
1. The agreement
These Terms of Service ("Terms") are a contract between you and Atlas Pro Consulting LLC, the operator of TapCoin Pay ("TapCoin Pay", "we", "us"), based in Tampa Bay, Florida. They govern your use of tapcoinpay.com, the TapCoin Pay dashboard, hosted checkout pages, the REST API, the WooCommerce plugin, TapCoin Assets, TapCoin Circles, escrow, AgentPay, and any other software or service we provide (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you confirm you have authority to bind that business, and "you" means the business.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are located in, or a resident of, a country or region subject to comprehensive United States sanctions, or if you appear on any US government list of prohibited or restricted parties. You are responsible for making sure that accepting cryptocurrency payments is lawful for your business in every place you operate, and for obtaining any licence or registration your own activity requires.
3. What the Service is
TapCoin Pay is payment orchestration and monitoring software. It lets you create pay buttons, payment links, invoices, QR codes, point-of-sale screens, e-commerce checkouts and machine-payable endpoints; it shows your customer an address, amount and destination tag; it watches the relevant public blockchain for a matching transaction; and it reports the result to you, your customer, your webhooks and your integrations. Supported assets and networks are listed in the dashboard and may change.
We may add, change or retire features at any time. We will give reasonable notice before removing a feature that paid plans rely on.
4. Non-custodial: what we do not do
TapCoin Pay is not a bank, exchange, wallet, custodian, payment processor or money transmitter. We never take possession or control of any funds. Every payment made through the Service goes directly from the payer's wallet to the receiving wallet address you provided, on a public blockchain we do not operate. We never hold, request or have access to your private keys or seed phrases.
It follows that:
- We cannot reverse, refund, cancel, freeze or redirect a blockchain transaction. Refunds are between you and your customer.
- You are solely responsible for the wallet addresses you enter. A payment sent to an address you gave us in error is not recoverable by us.
- You are responsible for the security of your own wallets and keys.
- Payment confirmation depends on the public network. Congestion, forks, reorganisations, node outages and protocol changes are outside our control. Our confirmation reflects what the network reported to us at the time and is not a guarantee of finality.
- Exchange rates shown in a checkout are indicative quotes from third-party price sources at the moment the checkout is created. Crypto prices move; you accept the risk of that movement.
5. Your account
Keep your credentials, two-factor device and API keys confidential. You are responsible for everything done through your account. Tell us at once at security@tapcoinpay.com if you believe it has been compromised. You must give accurate account and business information and keep it current. One person may not hold more than one Starter account to avoid plan limits.
6. Acceptable use
You may use the Service only for lawful purposes. You must not use it to:
- sell or take payment for anything illegal where you or your customer are located, including controlled substances, weapons, stolen data, counterfeit goods, or sexual services;
- launder money, finance terrorism, evade sanctions, or structure payments to avoid reporting;
- run fraud, phishing, pyramid or Ponzi schemes, or misrepresent who you are or what you are selling;
- collect payments for unlicensed gambling, unregistered securities offerings, or any activity that requires a licence you do not hold;
- infringe anyone's intellectual property or privacy rights;
- send spam or unsolicited messages through receipts, invoices or links generated by the Service;
- probe, scan, overload, reverse engineer or interfere with the Service or with other users, or use it to build a competing product by copying it;
- use automated means to create accounts or exceed rate limits.
We may investigate suspected violations and may suspend or close an account, refuse a checkout or block an address where we reasonably believe these Terms or the law are being broken. We may also do so when a payment network, hosting provider, billing provider or law enforcement requires it.
7. Fees and billing
Plans, prices, per-payment fee rates and included quotas are those published on the pricing page at the time of billing, which forms part of these Terms. In summary: Starter is free with a monthly payment cap; Pro and Business carry a monthly or yearly subscription plus a percentage fee on each successful payment; Enterprise is by agreement.
- Because the Service is non-custodial, fees are never deducted from a payment. Percentage fees accrue in your fee ledger as payments confirm and are charged to your card on file weekly, itemised, or sooner if accrued fees pass the threshold shown on the pricing page. For payments in assets where the network supports it, you may instead choose to have the fee paid by the customer's wallet directly to TapCoin Pay in the same signed transaction; the merchant's portion still goes directly to the merchant and never passes through TapCoin Pay.
- Subscriptions renew automatically until cancelled. Cancel from the billing page; your plan runs to the end of the period already paid. Fees accrued before cancellation are still due.
- If a charge fails we retry and notify you. After repeated failures we may pause new checkouts until billing is fixed; existing wallets and payments are unaffected.
- Prices exclude taxes. You are responsible for any sales, VAT or similar tax on our fees, and for all taxes on the payments you receive.
- Blockchain network fees are set by each network and paid by the sender; they are not our fees.
- We may change prices with at least 30 days' notice by email or in the dashboard. Changes apply from your next billing period.
- Fees already charged are non-refundable except where the law requires otherwise or we say so in writing.
8. TapCoin Assets: issuer responsibility
TapCoin Assets lets a Business account record the hash of a signed agreement on the XRP Ledger as a Multi-Purpose Token, sell units of that token through checkout, and deliver them to holders. TapCoin Pay provides the tooling only. You, the issuer, are solely responsible for the token and everything it represents, including:
- the content, accuracy and enforceability of the underlying agreement, and honouring the rights it grants to holders;
- determining whether the token is a security, a commodity, a licence or something else under the laws of every place you offer it, and complying with any registration, disclosure, know-your-customer or transfer restriction those laws require;
- tax treatment for you and your holders;
- the permanence of what you write to the ledger. Hashes, tokens and metadata are public and cannot be removed by us or anyone.
Tokens are use rights, not investments. Tokens issued with TapCoin Assets are intended to represent only the specific use rights described in their agreements, such as access, licences, warranties, credits or records of title. TapCoin Pay does not design, offer or promote any token as an investment, does not promise or imply any profit, return or appreciation, and does not manage any enterprise on holders' behalf. Because tokens can be transferred, their market value may rise or fall, and that risk belongs entirely to the holder. Issuers must not describe or market a token made with the Service as an investment or as a source of profit from others' efforts.
TapCoin Pay does not issue, underwrite, endorse, custody, market or make a market in any asset created with the tool, does not verify the claims in an agreement, and does not act as a broker, dealer, transfer agent, exchange or investment adviser. Our document verification tool confirms only that a file matches a hash on the ledger; it says nothing about whether the agreement is valid or the issuer is trustworthy. Buyers of any asset should do their own diligence on the issuer.
9. AgentPay
AgentPay lets sellers put an HTTP endpoint behind a price and lets software agents pay for it under the HTTP 402 pattern. Sellers are responsible for the content and lawfulness of what they sell and for meeting the description they publish. Agent operators are responsible for the agents they run, the spend policies they set, and every payment those agents make. Prepaid agent credits are not money, are not redeemable for cash, expire as stated at purchase, and may only be used to pay AgentPay fees.
10. XRP Circles
XRP Circles is software that helps a private group run a rotating savings circle (also called a sou-sou or susu) on the XRP Ledger. The organizer sets the contribution amount in US dollars, the schedule, the payout order and the rule for missed contributions, and every member accepts those terms before joining. Each round, every member other than that round's recipient signs, from their own wallet, an XRP Ledger escrow of the XRP equivalent of the agreed dollar amount at the price shown when they sign, addressed to the recipient and releasable on the payout date. The recipient collects by signing the release from their own wallet. An escrow not released within 14 days after its payout date can be cancelled by the member who created it, returning the XRP to them. TapCoin Pay never receives, pools, holds, transmits or controls circle funds, holds no keys, cannot redirect or seize them, and is not a party to the members' arrangement. TapCoin Pay is not a bank, lender, money transmitter or escrow agent and does not guarantee that any member will contribute. Circles pay no interest and are not investments. The dollar value of XRP can rise or fall while it is locked, and that risk belongs to the members. Each open escrow keeps a small XRP reserve in the member's wallet until it closes. The organizer pays the circle service fee ($2 per member per round), billed to the organizer's card; it is never deducted from contributions and members pay nothing to TapCoin Pay. Members can release or recover their escrows with any XRP Ledger wallet even if the Service is unavailable.
11. Escrow
The escrow feature helps a buyer and seller lock a payment in an escrow on a public blockchain. Funds move from the buyer's own wallet into the on-chain escrow; release to the seller requires the signatures of both buyer and seller, and if they are not given before the agreed deadline the buyer may reclaim the funds. TapCoin Pay is never a signer, never holds escrowed funds, and is not an escrow agent, trustee, arbitrator or money transmitter. We cannot release, block, redirect or seize escrowed funds and we do not decide disputes; any disagreement is between the buyer and seller. Asset values may change while funds are locked.
12. Intellectual property and your content
The Service, its code, design, documentation and trademarks belong to us or our licensors. We grant you a limited, revocable, non-exclusive licence to use the Service, the embed script, the plugin and the merchant badges to accept payments and describe that you do, as long as you comply with these Terms. You keep all rights to your logo, product data, documents and other content. You grant us the licence needed to store, display and transmit that content to run the Service, and you confirm you have the right to do so. Feedback you send us may be used without obligation.
13. No financial, legal or tax advice
Nothing in the Service, on our website, in our documentation or in our communications is financial, investment, legal, tax or accounting advice, or a recommendation to buy, sell or hold any cryptocurrency or asset. Cryptocurrency is volatile and may lose value. Regulation differs by jurisdiction and changes often. Consult your own qualified advisers before relying on the Service for any regulated activity.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free or secure, that any payment will be detected or confirmed within any time, that any exchange rate is accurate, or that any blockchain network will operate as expected. Our published status page reflects our own monitoring and is not a guarantee.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TAPCOIN PAY, ATLAS PRO CONSULTING LLC AND THEIR OWNERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR CRYPTOCURRENCY, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY. IN PARTICULAR WE ARE NOT LIABLE FOR FUNDS SENT TO A WRONG OR COMPROMISED ADDRESS, FOR BLOCKCHAIN NETWORK BEHAVIOUR, FOR THE ACTS OF THIRD-PARTY WALLETS, EXCHANGES OR PROVIDERS, OR FOR THE CONDUCT OF ANY MERCHANT, ISSUER, BUYER OR AGENT USING THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations; in those places our liability is limited to the smallest amount the law permits.
You will indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your use of the Service, your products, your tokens, your content, or your breach of these Terms or the law.
16. Termination
You may close your account at any time from Settings or by emailing us. We may suspend or terminate your access, with notice where practical, if you breach these Terms, if we are required to by law or by a provider we depend on, if your account is inactive for more than 12 months on a free plan, or if we stop offering the Service. On termination your licence ends, fees accrued to that point remain due, and we handle your data as described in the Privacy Policy. Sections that by their nature should survive (fees owed, intellectual property, disclaimers, limitation of liability, indemnity, governing law) survive termination. Nothing we do to your account affects funds in your wallet, because we never had them.
17. Governing law and disputes
These Terms are governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict of law rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court to protect intellectual property. Before filing, you agree to email legal@tapcoinpay.com and give us 30 days to resolve the matter. Consumers in jurisdictions that grant non-waivable rights keep those rights.
18. General
These Terms, the Privacy Policy and the pricing page are the entire agreement between us about the Service. If any part is unenforceable the rest stands. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of the business. Notices to you go to the email on your account; notices to us go to legal@tapcoinpay.com. We may update these Terms; material changes are announced by email or in the dashboard at least 14 days before they take effect, and continued use after that date is acceptance.
